These terms of service ("Terms") apply to your access and use of Zendesk apps and extensions (the "Service") made by Hannes Lehner ("we"). Please read them carefully.

Accepting these Terms

If you access or use the Service, it means you agree to be bound by all of the terms below. So, before you use the Service, please read all of the Terms. If you don't agree to all of the Terms below, please do not use the Service. For any questions or concerns regarding these Terms please contact us here here.

We reserve the right to modify these Terms at any time. For instance, we may need to change these Terms if we implement a new Service feature. Whenever we make changes to these Terms, the changes are effective 1 calendar month after we post such revised Terms (indicated by revising the date at the top of these Terms). It is your responsibility to check this website for changes to these Terms. Additionally, we will send out an email notice to all customers that have provided their contact details to us. If you continue to use the Service after the revised Terms go into effect, then you have accepted the changes to these Terms.

Use of the Service

The Service will be provided to you on a non-exclusive, non-transferable basis. You agree that the Service may not operate continuously and could be unavailable at times (e.g. for maintenance). We may change or discontinue any feature on the Service in whole or in part at any time at our sole discretion. We reserve the right to terminate this Service without prior notice at our sole discretion. You are not allowed to reverse engineer the source code of this Service, transfer, sublicense, lease the Service to a third party or modify the source code without authorization.

Payment and Currency

The use of this Service requires a recurring payment fee, payable in advance for each calendar month and each agent in your Zendesk account. The payment fee will be disclosed before your access to the Service. All fees are quoted in US Dollars and are exclusive of tax.
We reserve the right to change the fees for the Service at any time and will provide prior notice for these changes. If your payment for the Service fails for any reason (i.e. your credit card is declined or expired) you will be notified and you will be directed to make a new payment within seven days of the notification. If you do not make payment within seven days, we may take any reasonable action to recover the payment or terminate your access to the Service.
You agree that at the end of each billing cycle, you may incur additional fees due to an increase in the number of agents in your Zendesk account and you agree to pay these fees.

Refund and Dispute Policy

The Service fee is non-refundable. To the maximum extent permitted by law, there will be no refunds or credits for any unused Service period (or part thereof), or unused accounts. If you wish to dispute any payment made in error, you need to contact us via the contact form provided here.

Cancelation Policy

You may cancel the Service manually in your Zendesk account settings or by providing us with 10 days advance notice via the contact form here. The Service will terminate at the end of the billing cycle. No refunds will be given upon termination.
To the extent permitted by law, either party may terminate the Service immediately, if the other party has breached a material term of these Terms and Conditions.

Security and Privacy Policy

The Service is hosted by Zendesk (i.e. in the form of Zendesk applications) and the data processing required for providing the Service takes place within Zendesk (i.e. via Zendesk APIs or in the browser within the Zendesk Support interface).
The Service does not transmit any data contained within your Zendesk account (such as support tickets, chats with customers, customer's personal information, etc.) outside of Zendesk to us or any third parties, with the exception of your personal billing data.
We will use your billing data exclusively to provide you with the use of the Service (i.e. billing, payment processing) or as may be required to comply with any applicable law, legal requirement, police investigation or request from a Government authority. Any personal contact information you may provide while using the contact form on this website or when sending us emails will be solely used for communication and will be deleted upon request.

Third Party Services

This Service uses the following Third Party Services:

Zendesk & Zendesk Marketplace (for hosting the service)
Stripe (for billing and payment processing)

Additionally, Google Services (Firebase, Forms & Mail) are used for hosting this website and customer service.
We are not responsible for the privacy policies or terms and conditions of these services. You should be aware that the privacy policies and terms of these services may differ from our own. We encourage you to read the terms and conditions and privacy policy of any third party application, website or service that you visit or use.

Limitation of Liability

THE SERVICE AND ANY OTHER SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE ARE PROVIDED TO YOU ON AN AS IS OR AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. WE DISCLAIM ANY AND ALL WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE.
IN NO EVENT WILL HANNES LEHNER BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR ANY OTHER SERVICE AND/OR CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY WILL BE LIMITED TO THE AMOUNT YOU PAID TO HANNES LEHNER. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY SPECIFIED IN THIS AGREEMENT IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
You agree to defend, indemnify and hold us harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees, costs, penalties, interest and disbursements) we incur in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party relating to your use of the Service or the use of the Service by any person using your account, including any claim that your use of the Service violates any applicable law or regulation, or the rights of any third party, and/or your violation of these Terms.

Legal Information

These Terms will prevail in case anything in, or associated with the Service is inconsistent with these Terms. If a provision of these Terms is invalid or unenforceable it is to be severed to the extent necessary without affecting the validity or enforceability of the remaining provisions. Our failure to enforce any provision of these Terms shall not be treated as a waiver of that provision, nor shall it affect our right to subsequently enforce that provision.

The contracting parties agree on Austrian jurisdiction. Any claim or dispute arising in connection with these Terms and Conditions shall be decided exclusively by a court of competent jurisdiction located in Linz, Austria.

These Terms supersede any prior versions of these Terms and all other communications whether oral or written, express or implied.
